Terms & Conditions of Sale – 'Garment Planning' Software Source Code

These Terms & Conditions (the “Agreement”) govern the sale, license and use of the source code of the software known as “Garment Planning” (the “Software”), developed by garmentsmis.com (the “Provider”), and purchased by the licensee (the “Buyer”). By purchasing and using the Software, the Buyer agrees to be bound by this Agreement.

1. Grant of License

Subject to full payment, the Provider grants the Buyer a perpetual, non‑exclusive, non‑transferable license to use the Software source code only for the Buyer’s own company or group. The license is restricted as follows:

The price charged for this license is for a single company / group only. The Buyer acknowledges that this price does not grant rights to multiple companies, groups, or redistribution. Any additional entity wishing to use the Software must negotiate a separate license agreement and payment with the Provider.

3. Ownership and Intellectual Property

All intellectual property rights, including but not limited to copyrights, trade‑secrets, know‑how, and source code, remain with the Provider. The Buyer obtains only a license to use the Software under the terms of this Agreement; ownership is not transferred.

5. Warranty & Disclaimer

The Software is provided “as is,” without any warranty, express or implied. The Provider does not guarantee that the Software will meet the Buyer’s requirements or be free from defects, bugs, or vulnerabilities.

6. Limitation of Liability

The Provider shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, business interruption, or loss of data, arising out of the use or inability to use the Software, even if the Provider has been advised of the possibility of such damages. The total liability of the Provider under this Agreement shall not exceed the amount paid by the Buyer for the license.

7. Termination

If the Buyer breaches any of the terms of this Agreement (including but not limited to the restrictions in Section 4), the Provider may terminate this license immediately. Upon termination, the Buyer must cease all use of the Software and destroy all copies (source code, compiled binaries, documentation, backups, etc.) in the Buyer’s possession.

8. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of Bangladesh. Any dispute arising under or in connection with this Agreement shall be resolved by mutual discussion; if discussion fails, by the courts of [Your Jurisdiction].

9. Entire Agreement

This Agreement constitutes the entire agreement between the Provider and the Buyer regarding the Software license and supersedes all prior or contemporaneous agreements, proposals or representations, whether written or oral. Any amendments must be made in writing and signed by both parties.

10. Acceptance

By paying for the Software and/or using the Software, the Buyer confirms that they have read, understood and accepted this Agreement in full.
